These Terms of Service (“Terms”) are a legal agreement between you and NextScripts Corp (“NextScripts,” “we,” “us,” or “our”) governing your access to and use of the NextScripts Store at nextscripts.net, your Store account, and the products, licenses, subscriptions, updates, support, and related services made available through the Store (collectively, the “Services”).

By creating an account, placing an order, downloading or activating a product, or otherwise using the Services, you agree to these Terms. If you do not agree, do not use the Services or purchase, download, install, or activate a product.

1. Who may use the Services

You must be at least 18 years old, or the age of legal majority where you live, and legally able to enter into a contract. If you use the Services for a company or other organization, you represent that you have authority to bind it, and “you” includes that organization.

2. Store accounts

You agree to provide accurate, current, and complete account and billing information and to keep it updated. You are responsible for all activity under your account and for safeguarding your password, license keys, and other credentials. You may not sell, transfer, share, or permit unauthorized access to your account or license keys.

Contact us promptly if you suspect unauthorized access or use. We may require reasonable verification before changing account ownership, billing information, or access credentials.

3. Products and orders

The Store offers digital software, WordPress plugin add-ons, API libraries, licenses, access plans, updates, and related support. Product descriptions, compatibility information, included features, prices, license terms, and access periods shown on the applicable product page or checkout form are part of your order.

When you submit an order, you offer to purchase the selected product under these Terms and the terms shown at checkout. An order is accepted when we confirm it or make the purchased product or access available. We may reject or cancel an order before acceptance because of a pricing or description error, suspected fraud or unauthorized activity, legal restrictions, or product unavailability. If we cancel a paid order before providing the product, we will refund the amount charged for that order.

Prices are shown in the currency displayed at checkout. You are responsible for applicable taxes, duties, bank charges, currency-conversion costs, and similar charges unless the checkout expressly states that they are included. We may change prices prospectively, but a price change does not alter a completed fixed-term purchase. Subscription renewal pricing is addressed below.

4. Payment

You authorize NextScripts and the payment provider presented at checkout to charge the selected payment method for the amount and on the schedule disclosed before you complete the purchase. Payment providers have their own terms and privacy policies. You represent that you are authorized to use the payment method and agree to provide accurate billing information.

If a payment fails, is reversed, or becomes subject to a chargeback, we may suspend or terminate the associated product access, subscription, updates, support, or license key after providing any notice required by law. Please contact us before initiating a chargeback so we have an opportunity to resolve the issue.

5. Digital delivery and activation

Products are delivered electronically through your Store account, by email, through activation, or by another method described at checkout. No physical product is shipped. You are responsible for providing a working email address, maintaining access to your account, and checking any spam or filtering settings.

You should review product requirements and available documentation before purchasing. Unless expressly stated otherwise, you are responsible for installation, configuration, backups, WordPress and server administration, social-network settings, and third-party fees or accounts.

Notice for EEA and UK consumers: If you request immediate access to digital content before the end of a statutory withdrawal period and expressly acknowledge that access begins immediately, you may lose the right to withdraw once supply begins, to the extent permitted by applicable law. The Store must obtain this consent and acknowledgment separately at checkout where required. Nothing in these Terms limits a mandatory right that cannot lawfully be waived.

6. Software license

Your use of a product is governed by the software license agreement presented with that product or linked at checkout (the “Software License Agreement”). If no separate agreement is presented, NextScripts grants you, for the purchased term, a limited, non-exclusive, non-transferable, non-sublicensable right to install and use the product for your own internal purposes and on websites that you own or control, subject to these Terms and the product description.

Unless a product page or written agreement expressly permits it, you may not:

  • sell, rent, lease, sublicense, redistribute, publish, or make the product or license key available to another person;
  • use your license to provide copies or installations to clients or other third parties;
  • remove proprietary notices or circumvent activation, access, usage, or security controls;
  • reverse engineer, decompile, or disassemble a product except to the limited extent applicable law expressly permits despite this restriction; or
  • use a product in a way that violates law, these Terms, the Software License Agreement, or third-party rights.

Open-source components remain governed by their applicable open-source licenses. Nothing in these Terms restricts rights granted under the GNU General Public License or another applicable open-source license.

7. Subscriptions, renewals, and cancellation

The Store offers both automatically renewing subscriptions and non-renewing fixed-term purchase options for certain products. The checkout page will identify which type you select.

Automatically renewing subscriptions. By selecting a subscription and completing checkout, you expressly authorize recurring charges at the price and frequency disclosed at checkout until you cancel. Unless otherwise disclosed, an annual subscription renews for successive one-year terms. Renewal provides continued access to the products, updates, services, and support included in the subscription.

We may change a future renewal price by giving advance notice when required by law. A product-specific promise that preserves a particular renewal rate controls over this general provision.

You may cancel an automatically renewing subscription at any time through the subscription controls in your Store account, through the applicable payment provider where available, or by contacting support. Cancellation stops future renewals and does not ordinarily end access already paid for; access continues through the end of the current paid term unless we tell you otherwise. Cancel before the renewal date to avoid the next charge. Removing a product, deleting a local installation, or stopping use does not by itself cancel a subscription.

Non-renewing purchases. A one-time or multi-year purchase provides access for the fixed period disclosed at checkout and does not renew automatically. It is not a perpetual license unless the product page and order confirmation expressly say so. You must purchase a new term to continue receiving time-limited access, updates, or support after the fixed period ends.

Renewal and cancellation rights required by applicable law remain available regardless of these Terms.

8. Updates, support, and product changes

Updates and support are provided only for the period and at the service level described on the product page, checkout form, order confirmation, or applicable Software License Agreement. Unless expressly promised, we do not guarantee a particular response or resolution time, continued support for a particular version, or that an update will preserve every prior feature or integration.

We may add, change, replace, or discontinue features to address security, legal, technical, third-party platform, or business requirements. If a change materially reduces a paid Service during the current paid term, contact us and we will provide any remedy required by law and consider an appropriate service credit, replacement, or prorated refund based on the circumstances.

9. Third-party platforms and social networks

NextScripts products can interact with WordPress, hosting providers, social networks, and other services that NextScripts does not own or control. You are solely responsible for your accounts on those services and for complying with their terms, platform policies, rate limits, content rules, privacy requirements, and applicable law.

Third parties may change, restrict, suspend, price, or discontinue their APIs, authentication methods, features, or services at any time. These changes may temporarily or permanently limit a NextScripts product. NextScripts does not guarantee uninterrupted compatibility with a third-party service or that a third party will approve an application, publish particular content, or refrain from restricting or suspending your account.

NextScripts products are not intended for spam, deceptive automation, unauthorized scraping or access, artificial engagement, or bypassing a platform’s safeguards. You must have all permissions needed to access an account and publish, import, or process content.

10. Acceptable use

You may not use the Services to:

  • violate law, regulation, sanctions, court order, or another person’s rights;
  • send spam or distribute unlawful, fraudulent, deceptive, infringing, abusive, or malicious content;
  • access or control an account, website, system, or data without authorization;
  • introduce malware or interfere with the security, integrity, or operation of the Services or another system;
  • probe, scan, overload, or attempt to bypass limits or security controls;
  • misrepresent your identity or affiliation; or
  • help another person do any of the above.

11. Your content and data

You retain your rights in content and data you process using a NextScripts product. You grant NextScripts only the limited rights reasonably necessary to transmit, host, reproduce, or otherwise process that content and data when needed to provide a feature you request, deliver support, secure the Services, or comply with law.

You represent that you have all rights, permissions, and lawful bases needed for the content and personal information you process and that your use of the Services will not infringe another person’s rights. You are responsible for your websites, posts, messages, imports, audiences, and backups.

12. NextScripts intellectual property

The Services, Store, product names, logos, documentation, and non-open-source software and content are owned by NextScripts or its licensors and are protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms or an applicable license, no rights are transferred to you.

If you provide suggestions or feedback, you grant NextScripts a worldwide, perpetual, irrevocable, royalty-free right to use and incorporate it without restriction or compensation. This does not give us ownership of your confidential information or personal information, which remains subject to our Privacy Policy.

13. Privacy

Our Privacy Policy explains how we collect and use personal information. By using the Services, you acknowledge the practices described there.

14. Refunds

Refund requests are governed by the NextScripts Refund Policy presented at checkout. The Refund Policy is part of these Terms.

No policy excludes refunds or remedies that applicable law requires. If digital content is defective, materially misdescribed, not supplied, or subject to a mandatory cancellation or withdrawal right, you retain the remedies provided by applicable law.

15. Suspension and termination

You may stop using the Services at any time. Stopping use does not cancel an automatically renewing subscription; follow the cancellation process in Section 7.

We may suspend or terminate access to an account, license, or Service if you materially breach these Terms or a Software License Agreement, fail to pay an amount due, create a security or legal risk, use the Services fraudulently or unlawfully, or if suspension is reasonably necessary to protect NextScripts, our users, or a third party. When practical, we will provide notice and an opportunity to cure the issue.

Upon termination, your right to use affected paid products and Services ends, except to the extent a separate license expressly survives. Provisions that by their nature should survive will survive, including payment obligations, intellectual-property provisions, disclaimers, limitations of liability, dispute provisions, and accrued rights.

16. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” NEXTSCRIPTS DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

NEXTSCRIPTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, COMPATIBLE WITH EVERY WEBSITE, PLUGIN, THEME, HOST, BROWSER, DEVICE, OR THIRD-PARTY PLATFORM, OR THAT EVERY POST, IMPORT, UPDATE, OR OTHER ACTION WILL SUCCEED. YOU ARE RESPONSIBLE FOR TESTING, CONFIGURATION, SECURITY, AND BACKUPS.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY EXCLUSIONS. IN THOSE JURISDICTIONS, THE EXCLUSIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS A WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE LIMITED.

17. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXTSCRIPTS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, CONTENT, OR ACCOUNT ACCESS, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF NEXTSCRIPTS AND THE OTHER PARTIES IDENTIFIED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO A PRODUCT OR SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID NEXTSCRIPTS FOR THE AFFECTED PRODUCT OR SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, INCLUDING, WHERE APPLICABLE, LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, GROSS NEGLIGENCE, DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, OR VIOLATION OF MANDATORY CONSUMER RIGHTS.

18. Indemnification by business users

If you use the Services for business or professional purposes, you will defend, indemnify, and hold harmless NextScripts and its officers, directors, employees, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, costs, and reasonable attorneys’ fees arising from your content, your websites or accounts, your violation of these Terms or law, or your infringement of a third party’s rights. This section does not apply to an individual acting solely as a consumer to the extent prohibited by applicable law.

19. Changes to the Services or these Terms

We may update these Terms to reflect changes to the Services, law, security requirements, or business practices. We will post the revised Terms and update the date above. If a change materially affects an active paid subscription, we will provide additional notice when required by law. Changes apply prospectively; continued use after the effective date constitutes acceptance where permitted by law.

20. Governing law and disputes

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict-of-law principles. The state and federal courts located in New Jersey will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction there.

If you are a consumer, this choice of law and forum does not deprive you of mandatory protections or the right to bring a claim in a forum available under the law of your country or state of residence.

Before filing a claim, please contact us and describe the dispute so the parties can try to resolve it informally. Nothing in this paragraph prevents either party from seeking urgent injunctive relief or filing before a limitation period expires.

21. General terms

These Terms, the applicable order and product description, the Privacy Policy, the Refund Policy, and any applicable Software License Agreement form the agreement between you and NextScripts regarding the Services. If they conflict, the more specific product or checkout term controls for that product, followed by the Software License Agreement, these Terms, and the general policies, except that mandatory law always controls.

You may not assign these Terms or transfer an account, order, subscription, or license without our written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

If a provision is unenforceable, it will be modified only to the extent necessary to make it enforceable, and the remaining provisions will remain in effect. A failure to enforce a provision is not a waiver. Section headings are for convenience only. Electronic notices and records satisfy any writing requirement to the extent permitted by law.
